This Agreement governs your access to and use of the Videntur Investment Partners’ website (the “Website”) and the content, information and services provided on or through the website.
This Agreement exempts Videntur Investment Partners and other persons from liability or limits their liability and contains other important provisions that you should read.
Each time you use the website, this Agreement as it then reads, will govern your use.

Provisions

This is an agreement (the "Agreement") between you and all persons you represent (and for purposes of this Agreement, "person" includes natural persons and any type of incorporated or unincorporated entity or organization) and Videntur Investment Partners and governs your access to and use of the Videntur Investment Partners’ website and the content, information and services provided on or through the website, including all on-line tools (including applications and calculators) available on or through the website (collectively the "Website"). This Agreement also provides benefits to Videntur Investment Partners’ affiliates, service providers, suppliers and sub-contractors (collectively, "Affiliates and Providers").

Each time you use the Website you signify your acceptance and agreement, and the acceptance and agreement of all persons you represent, without limitation or qualification, to be bound by this Agreement as it then reads, and you represent and warrant that you have the legal authority to agree to and accept this Agreement on behalf of yourself and all persons you represent. If you do not agree with each provision of this Agreement, or you are not authorized to agree to and accept this Agreement, you may not use the Website.

The Website may be accessed and used only by individuals located in Canada who have reached the age of majority in their jurisdiction of residence, can form legally binding contracts under applicable law, and have accepted this Agreement. The Website is not intended for persons resident or located in the United States or any other jurisdiction outside Canada. Persons using the Website must comply with all applicable laws. Videntur Investment Partners may in its discretion refuse permission to access and use the Website.

If you are located outside of Canada and you choose to access and enter this Website, you are advised that it may not be legal in that jurisdiction for you to access or use the facilities available on this Website and the legal requirements of that jurisdiction may prohibit you from dealing or otherwise transacting in that jurisdiction.

The products and services of Videntur Investment Partners and the Affiliates and Providers referenced on the Website are available only in certain jurisdictions in Canada. These products and services are not intended for or available to persons resident or located in the United States or any other jurisdiction outside Canada. You agree that any of the products or services provided to you by any Videntur Investment Partners member, Affiliate or Provider will be deemed to be provided in the jurisdiction within which the member, Affiliate or Provider providing the product or service is authorized to operate.

Videntur Investment Partners reserves the right to make the final determination on whether or not you are eligible for any particular product or service.

Notwithstanding any other terms in any agreements you have with Videntur Investment Partners, Videntur Investment Partners may, in its sole discretion, change, supplement or amend this Agreement from time to time, for any reason, and without any prior notice or liability to you or any other person, by posting a revised agreement on the Website. Each time you use the Website, you should check the date of this Agreement (which appears at the top of this Agreement) and review any changes since the last version. By using the Website after this Agreement has been revised, you signify your acceptance and agreement, and the acceptance and agreement of all persons you represent, without limitation or qualification, to be bound by the revised Agreement, and you represent and warrant that you have the legal authority to agree to and accept the revised Agreement on behalf of yourself and all persons you represent. If you do not agree with each provision of the revised Agreement, or you are not authorized to agree to and accept the revised Agreement, you may not use the Website. You may not change, supplement, or amend this Agreement in any manner.

This Agreement is in addition to and supplements any other written agreements that you or any persons you represent have with Videntur Investment Partners or any Affiliates and Providers (now or in the future) concerning your dealings with Videntur Investment Partners or the Affiliates and Providers generally. Videntur Investment Partners products and services (including Internet Account Access and Banking services) available and/or referenced on the Website may be subject to the applicable agreements governing their supply and use (the "Service Agreements"). If there is any inconsistency or conflict between the provisions of this Agreement and the provisions of a Service Agreement, this Agreement will govern in respect to the matters covered in section 4 above, and the applicable Service Agreement will govern in respect to all other matters.

Except for Internet Account Access, Internet Banking, On-Line Applications and On-line Requests, the Website is for informational or general illustrative purposes only. The Website is not guaranteed to be accurate, complete, or timely. The Website is not intended to be a comprehensive or detailed statement concerning the matters addressed; investment, tax, banking, accounting, legal, or other professional or expert advice or recommendations; or an offer, solicitation, or recommendation to sell or buy any stock, bond or other financial instrument or any product or service. Certain portions of the Website relating to on-line transactions ("Internet Banking") may be accessed only by Videntur Investment Partners’ customers who have agreed to be bound by the applicable Internet Banking Service Agreement and to whom a personal access number and password have been issued or chosen.

The Website also allows users to complete and submit applications for Videntur Investment Partners’ products and services ("On-line Applications"), and to request specific types of information from Videntur Investment Partners ("On-line Requests"). On-line Applications and On-line Requests may only be made using appropriate application forms available through the Website, and not through email.

Except for Internet Account Access, Internet Banking, On-line Applications and On-line Requests, the Website is established solely for the distribution of information by Videntur Investment Partners where permitted by law, and may not be used by you or any other person for any transactions or to provide instructions or information to Videntur Investment Partners or any other person regarding any matter. Additional details regarding market commentary may be found in the Corporate Disclosure.

All information you provide through the Website, including your legal name, residential address, email address, and information relating to Internet Banking transactions, On-line Applications and On-line Requests, must be true, accurate, current and complete. Videntur Investment Partners will rely on the information you provide. You will be solely responsible and liable for any and all loss, damage, and additional costs that you, Videntur Investment Partners or any other person may incur as a result of your submission of any false, incorrect or incomplete information.

You authorize Videntur Investment Partners to: (a) accept communications it receives from you by means of the Website as if those communications had been given directly by you in writing and signed by you; (b) disclose your communications to Affiliates and Providers and Videntur Investment Partners employees and representatives by means of the Website, email or other communications (when you have consented to the disclosure of such communications); and (c) respond to your communications by means of Internet communications, email or other communications.

Communications you send to Videntur Investment Partners by means of the Website are not effective unless and until they are processed by the responsible Videntur Investment Partners representative. Videntur Investment Partners may refuse to process any communications sent to Videntur Investment Partners by means of the Website, or may reverse the processing of any communications sent to Videntur Investment Partners by means of the Website, at any time in Videntur Investment Partners’ discretion, and without any notice or liability to you or any other person, including without limitation if: (a) Videntur Investment Partners cannot process the communications; (b) the communications violate any provision of this Agreement or any other agreement that you or any other person may have with Videntur Investment Partners; (c) Videntur Investment Partners considers that the communications may conflict with any other instructions from or agreements with you or any person you represent; (d) there is an operational failure or malfunction in connection with the transmission of the communications; or (e) if completion of the communication could violate any bank policies or procedures or any law, regulation, rule, standard or guideline of any governmental authority to which Videntur Investment Partners or any of its Affiliates or Providers is subject.

Videntur Investment Partners uses data encryption and firewalls to maintain the security of the information it receives through the Website. Nevertheless, security and privacy risks cannot be eliminated. As a further security precaution, you must access and use the Website using commercially available browser software (such as a current version of Internet Explorer™) that provides 128-bit encryption and SSL (Secure Sockets Layer) technology, and you may not use your browser software's "save password" feature. Once you have initiated a session in connection with the Website, you must not leave the computer from which you have accessed the Website unless and until you have terminated the session and logged off the Website. When you complete a session, you are responsible for clearing your browser's cache or temporary internet files to ensure your personal information is not accessible by others.

Emails and Internet communications are not secure or confidential unless properly encrypted. Consequently, Videntur Investment Partners discourages the use of email to send personal or financial information to Videntur Investment Partners. Certain parts of the Website, including portions of the Internet Banking system are located outside of Canada. The information you submit through the Website may be stored inside or outside of Canada. Information stored in Canada is subject to Canadian law, and information stored outside of Canada is subject to the laws of the jurisdiction in which the information is stored. Videntur Investment Partners may be required to disclose your information to third parties in accordance with applicable laws.

Videntur Investment Partners endeavours to provide accurate information on and through the Website, but errors may occur and information may become out of date. Videntur Investment Partners does not guarantee the accuracy, completeness, or timeliness of the information available on or through the Website. ADVICE AND INFORMATION PROVIDED BY VIDENTUR INVESTMENT PARTNERS OR THE AFFILIATES AND PROVIDERS OR THEIR RESPECTIVE REPRESENTATIVES, WHETHER ORAL OR WRITTEN, WILL NOT CREATE ANY REPRESENTATION, WARRANTY OR CONDITION OR VARY OR AMEND THIS AGREEMENT, INCLUDING THE ABOVE DISCLAIMER, LIABILITY EXCLUSION, LIABILITY LIMITATION AND YOU MAY NOT RELY UPON ANY SUCH ADVICE OR INFORMATION.

FAIR ALLOCATION OF RISK AND LIABILITY

YOUR ACKNOWLEDGE AND AGREE THIS AGREEMENT REPRESENTS A FAIR ALLOCATION OF RISK AND LIABILITY.


The exclusion of certain warranties and the exclusion or limitation of certain liabilities is prohibited by legislation in some jurisdictions. Such legislative limitations may apply to you.

All Rights Reserved. Videntur Investment Partners reserves the right to cancel and revoke any permission it may give to link to the Website at any time, for any reason, without any notice, and without any liability to you or any other person. The framing, mirroring, scraping or data-mining of the Website or any of its content in any form and by any method are strictly prohibited.

You may not use chat or annotation technologies in connection with your use of the Website or to post comments, communications, or any other data of any kind to or on the Website with the intention that such postings may be viewed by other users of the Website

If you breach any provision of this Agreement, you may no longer use the Website. Videntur Investment Partners may, at any time and for any reason and in its discretion: (a) change, suspend or terminate, temporarily or permanently, the Website or any part of it; or (b) restrict, suspend or terminate (in whole or in part) your permission to access or use the Website; all without any notice or liability to you or any other person. If your permission to access or use the Website is terminated by Videntur Investment Partners or if you cease using this Website because you no longer want to comply with the terms of this Agreement, this Agreement and all other then existing agreements between Videntur Investment Partners and you or any persons you represent will continue to apply and be binding upon you and any persons you represent, jointly and severally, regarding your prior access to and use of the Website, and anything connected with, relating to or arising there from.

This Agreement, your access to and use of the Website, and all related matters are governed solely by the laws of the Province of Quebec, Canada and applicable federal laws of Canada, excluding any rules of private international law or the conflict of laws that would lead to the application of any other laws.

Any dispute between Videntur Investment Partners and you or any other person arising from, connected with, or relating to the Website, this Agreement, access to or use of the Website, or any related matters ("Disputes") must be resolved before the Courts of the Province of Quebec, Canada sitting in the City of Montreal, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those Courts in respect of all Disputes. Any proceeding regarding a Dispute must be commenced in a court of competent jurisdiction in Montreal, Quebec, Canada within six (6) months after the Dispute arises, after which time any and all proceedings regarding the Dispute are barred.

If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful, void, or for any reason unenforceable, then that provision will be deemed to be severed from the rest of this Agreement and will not affect the validity and enforceability of any remaining provisions.

No consent or waiver by any party to or of any breach by any other party in its performance of its obligations under this Agreement will be deemed or construed to be a consent to or waiver of a continuing breach or any other breach of those or any other obligations of that party. No consent or waiver will be effective unless in writing and signed by all parties.

The provisions of this Agreement will ensure to the benefit of and be binding upon Videntur Investment Partners and the Affiliates and Providers and each of their respective successors and assigns and related persons, and you and your heirs, executors, administrators, successors, and personal representatives, and all persons you represent and their respective successors, assigns and related persons. You and the persons you represent may not assign this Agreement or the rights and obligations under this Agreement without the express prior written consent of Videntur Investment Partners, which may be withheld in Videntur Investment Partners' discretion. The unsolicited emails are defined as 'Spam,' and the sheer volume of spam can fill email files and add pop-up ads on your computer screen. You can purchase anti-spam software to filter unwanted email or spam from your incoming email list until you delete it.

Chain Letter Email: An email requesting that the recipient send the email to everyone they know is called a "chain letter email". Many companies who sell mailing lists also run chain letters and every person that responds or enters their email address becomes part of a mailing list. Often, unsuspecting individuals respond to the email because of appealing content, promised good luck or monetary gain. It's best to delete chain letter email in the event that an attachment contains a computer virus. You can also install anti-spam programs to block unwanted email and solicitations.

For example, a virus might attach itself to a program or a game. Each time the program is opened the virus runs and can infect other programs or damage your computer. Worm: A worm virus is a small program that searches through networks to find security holes to replicate itself from machine to machine. Worms use up computer time, space and speed when replicating, with a malicious intent to slow or bring down entire servers to halt Internet use.

Trojan Horse: A Trojan Horse is another type of computer virus, which is simply a computer program that masks as another program. For example, you may download a simple computer game not suspecting any harm. What personal information do you need?

"Personal Information" means any identifiable information about you. When you apply for a product or service with us, we are required by law to collect certain personal information from you including your name, address, signature, date of birth, identification numbers, and occupation or employment information. This information allows us to confirm your identity.

In addition, depending on the type of product or service you are applying for, we will collect other personal information about you including your income, assets, liabilities, source of funds, payment records, personal references, investment objectives, financial plans, credit reports and other financially-related information. We use this information to evaluate your application for products and, in the case of mutual funds or brokerage or investment accounts, to ensure that our advice and the investments you make are suitable for you.

For income tax reporting purposes, the government requires us to keep a record of your social insurance number (“SIN”) if you have an account that earns interest or if you are buying registered investment products. With your consent, we will also collect, use and, in some cases, share your SIN in order to ensure accuracy on credit checks, meet legal and regulatory requirements, and for collections, internal audit (including security), statistical, and record keeping purposes. You can withdraw your consent to these additional uses of your SIN at any time, as described on the final page of this Privacy Notice.

How is your personal information used?

We use your personal information to:
• evaluate your application for products and services;
• open, operate and collect on your account(s);
• provide ongoing service to you as a customer;
• to evaluate the current and future needs of our customers and to help better manage our business;
• honour your privacy choices;
• maintain the accuracy and integrity of the credit reporting system;
• verify your identity;
• meet legal and regulatory requirements;
• conduct our internal audit (including security) functions – these functions allow us to monitor our systems and processes. This helps protect you and us from fraud, identity theft and unauthorized access to your accounts;
• conduct statistical and record keeping operations.

With your consent, we will share your personal information within Videntur Investment Partners so that we can determine what products or services may be of interest to you and offer these products and services to you. With your consent, we will also offer you the products or services of selected third parties. Where do you obtain personal information about me?

Most of the information comes directly from you when you apply for financial products or services. We may also need information from credit bureaus, income sources and personal references you have provided to us. Of course, we obtain consent from you before we contact anyone for information about you.

In what circumstances is personal information disclosed?

Generally, we do not disclose your personal information without your consent. More specifically, we ask for your written consent for the disclosure of information to credit reporting agencies or to other credit grantors.

There are however, some exceptions. For example, we sometimes require services from suppliers and agents, such as cheque printers, market research and computer data-processing companies. We choose our service providers and agents with care and we impose strict contractual obligations on them to protect your personal information to the standards of confidentiality and security, which we observe. We use service providers or agents located in Canada or in other countries and, as a result, personal information may be accessed under the laws of Canada or such other countries to which the information has been transferred. Another exception is when Videntur Investment Partners is required by law to disclose your personal information. For example, if Videntur Investment Partners receives subpoenas, search warrants, court or government orders Videntur Investment Partners releases the information but only to the extent that is legally required. In addition, the law permits us to disclose personal information: in order to collect a debt owed to us; and to government authorities or investigative bodies for various law enforcement purposes like combating fraud or money laundering.

With the ongoing growth of Videntur Investment Partners, some of our businesses may be bought or sold. In this event, personal information would be transferred in order that the purchaser could continue to provide ongoing service to the affected customers.

How long do you keep personal information?

We only keep your personal information on file for as long as we need it to provide you with service and to meet legal requirements. When we no longer need the information, it is either destroyed or made anonymous.

What safeguards do you have in place to keep personal information confidential?

We use a variety of security measures such as restricting employee access to files and data centres, using fireproof and locked file cabinets, and employing a variety of electronic security measures, such as passwords, personal identification numbers and data encryption techniques.

Only those employees who need personal information to provide service have access to it. It is a condition of employment that all Videntur Investment Partners’ employees conform to our Privacy Code and sign a written promise to observe the highest standards of confidentiality for each customer’s personal information.

Can I find out what information you have concerning me and who you have given it to?

At any time, you can find out what personal information we have, what it is being used for and to whom it has been disclosed. However, in some specific circumstances, disclosure of your personal information to you can or must by law be denied, for example when: the information is protected by solicitor/client privilege; disclosure of the information would also reveal personal information about another person; or, disclosure would reveal confidential commercial information. We do not keep records regarding the disclosure of personal information for routine purposes such as cheque printing, tax reporting to the government, updating credit information to credit bureaus or indicating to third parties when cheques are returned NSF. We will do our best to provide the required information to you within a reasonable time period after receiving your written request and will provide an explanation if we are unable to meet your request. Generally we will respond to inquiries free of charge and, in the event that the inquiry is sufficiently complex to warrant a charge, we will provide an estimate of the amount in advance.

If my personal information is inaccurate, can it be changed?

Yes, we will correct inaccurate or incomplete information within a reasonable time and will notify you when we have done so. There is no charge for correcting your information. In the unlikely event we have given incorrect information to others, we will ensure they are advised of the required corrections. You may access your Personal Information in our possession or make corrections to it by contacting Videntur Investment Partners. We will assist you to complete the necessary forms.

We may have obtained a credit report in connection with your application for products or services from either Equifax Canada or TransUnion Canada.
